Abstract
This research examines termination for default (T-for-D) in the U.S. construction industry, a contractual remedy that is both severe in consequence and inconsistently applied. Using a mixed-methods approach that combines analysis of nearly 300 litigated cases with structured interviews of 35 senior surety claims professionals, the study identifies the principal drivers of default terminations.Judicial decisions indicate that delay, quality deficiencies, and financial distress are the leading causes of T-for-Ds, in that order. The case law further reveals sectoral and jurisdictional distinctions. For instance, public projects tend to emphasize strict schedule compliance, while private projects more frequently focus on workmanship concerns. In addition, courts often overturn T-for-Ds due to procedural deficiencies or non-material breaches, highlighting the critical importance of strict adherence to contractual notice and termination requirements.The surety claims professionals largely validate the judicial findings, identifying delay, quality, and financial issues as the three most common grounds for T-for-D. However, they report a different order of prevalence, noting that financial-related defaults are, by a significant margin, more common than delay or quality-based terminations. Interviewees explained that terminations arising from financial mismanagement are generally not contested, resulting in their underrepresentation in reported case law and creating a divergence between litigated outcomes and an overall T-for-D dataset.Collectively, these findings provide a comprehensive framework for understanding T-for-D risk across both disputed and undisputed contexts and offer actionable guidance for contractors seeking to mitigate T-for-D exposure and improve overall project performance.
